
«السوق» تلزم المؤسسات بمتطلبات إقراض الأوراق المالية المدرجة
وذكرت الهيئة أن حرصها على هذا الجانب يأتي استمراراً لدورها في تنظيم السوق المالية ومراقبة أعمال وأنشطة الجهات الخاضعة لإشرافها، وسعياً إلى تعزيز مستوى الالتزام بالمتطلبات التنظيمية ذات الصلة.
متطلبات الملاءمة
وأكدت الهيئة في هذا السياق على مراقبتها لالتزام مؤسسات السوق المالية بالمتطلبات المتعلقة بإقراض الأوراق المالية، بما في ذلك متطلبات الملاءمة عند إبرام صفقات إقراض الأوراق المالية المدرجة، ومتطلب الحصول على موافقة العميل صراحةً وكتابياً قبل إقراض أوراقه المالية، وذلك وفقاً للأحكام الواردة في لائحة مؤسسات السوق المالية ولائحة إقراض الأوراق المالية المدرجة.
وشددت الهيئة على أنها ستواصل مراقبة الالتزام بالمتطلبات التنظيمية ذات العلاقة، واتخاذ الإجراءات النظامية اللازمة حيال أي ممارسات لا تراعي تلك المتطلبات، بما يحفظ حقوق المستثمرين ويعزز سلامة وعدالة التعاملات في السوق المالية.
The Saudi Capital Market Authority has circulated to all financial market institutions the necessity of ensuring compliance with the regulatory requirements for lending listed securities, which guarantees the conduct of activities in accordance with the Capital Market Law and its related executive regulations, enhances the safety of practices related to lending listed securities, protects investors’ rights, and supports the integrity and fairness of transactions in the financial market. The Authority stated that its concern for this aspect comes as a continuation of its role in regulating the financial market and monitoring the operations and activities of the entities under its supervision, in an effort to enhance the level of compliance with the relevant regulatory requirements.
Suitability Requirements
In this context, the Authority emphasized its monitoring of financial market institutions’ compliance with the requirements related to lending securities, including suitability requirements when concluding lending transactions for listed securities, and the requirement to obtain the client’s explicit and written consent before lending their securities, in accordance with the provisions contained in the Financial Market Institutions Regulation and the Regulation on Lending Listed Securities.
The Authority stressed that it will continue to monitor compliance with the relevant regulatory requirements and take the necessary legal actions regarding any practices that do not adhere to those requirements, in order to protect investors’ rights and enhance the integrity and fairness of transactions in the financial market.
